Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by SeidlerDesign OÜ (referred to as "we," "us," "our," or the "Studio"), you ("Client," "you," or "your") agree to comply with and be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.

2. Description of Services

SeidlerDesign OÜ provides 3D visualization, AI automation, and workflow solutions for various industries. Our services include, but are not limited to, 3D rendering, animation, design consultation, and AI-powered workflow optimization consulting (collectively, the "Services").

3. Project Submission and Approval Process

3.1 By submitting project requirements to us, you confirm that you have the legal right to commission such work.

3.2 The Studio reserves the right to refuse any project that we believe violates applicable laws or our ethical standards.

3.3 Rejected Designs: Any designs, mockups, or concepts that are rejected, declined, or not selected by you during the design process become the property of SeidlerDesign OÜ. We reserve the right to modify, repurpose, and reuse such rejected designs for other clients or projects, provided that any identifying information specific to your business is removed.

4. Intellectual Property Rights

4.1 Upon full payment of all invoices related to your project, you will receive a non-exclusive license to use the final deliverables for the specific purpose and scope outlined in your project agreement.

4.2 SeidlerDesign OÜ retains all intellectual property rights, including copyright, to all designs, concepts, drafts, and final deliverables created during the course of providing Services to you, unless explicitly specified otherwise in a separate written agreement.

4.3 Portfolio Rights: You agree that SeidlerDesign OÜ may use and display any completed work in our portfolio, on our website, in our social media accounts, for awards submissions, and in other promotional materials. This includes the right to publish, exhibit, and reproduce the work for our advertising, publicity, and promotional purposes. If your project contains sensitive or confidential information, please notify us in writing before project commencement.

4.4 All source files remain the property of SeidlerDesign OÜ unless specifically transferred through a separate written agreement.

5. Payment Terms

5.1 Payment schedules and amounts will be outlined in your project proposal or agreement.

5.2 Unless otherwise specified, a non-refundable deposit of 50% of the total project fee is required before work begins.

5.3 Final deliverables will be released only upon receipt of full payment.

5.4 Late payments are subject to interest charges of 1.5% per month on the outstanding balance.

6. Revision Policy

6.1 Your project includes a specific number of revision rounds as outlined in your project agreement.

6.2 Additional revisions beyond those included in the original scope will incur additional fees at our standard hourly rate.

7. Cancellation Policy

7.1 Either party may terminate the service agreement with written notice.

7.2 If you cancel a project after work has commenced, you will be invoiced for all work completed up to the cancellation date plus 25% of the remaining project fee.

7.3 All deposits are non-refundable, regardless of cancellation circumstances.

8. Confidentiality

8.1 We agree to keep confidential all information that you provide which is marked as confidential or that would reasonably be understood to be confidential.

8.2 This confidentiality obligation does not apply to information that is publicly available, already known to us, or required to be disclosed by law.

9. Limitation of Liability

9.1 To the maximum extent permitted by applicable law, SeidlerDesign OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services.

9.2 Our total liability for any claims under these Terms shall not exceed the amount paid by you for the specific project giving rise to such claims.

9.3 We are not responsible for the content you provide for use in your project or for ensuring that such content does not infringe upon the rights of third parties.

10. Indemnification

You agree to indemnify and hold harmless SeidlerDesign OÜ, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of our Services or your violation of these Terms.

11. Governing Law and Dispute Resolution

11.1 These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

11.2 Any dispute arising from these Terms shall first attempt to be resolved through good-faith negotiation. If such negotiation fails, the parties agree to submit to binding arbitration in Tallinn, Estonia.

12. Changes to Terms

12.1 SeidlerDesign OÜ reserves the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website.

12.2 Your continued use of our Services after such modifications constitutes your acceptance of the revised Terms.

13. Third-Party Services

We may recommend third-party services or tools as part of our consulting services. You acknowledge that these third parties may have their own terms of service and privacy policies, and your use of such services is governed by those terms.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, strikes, or other workforce disruptions.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and SeidlerDesign OÜ regarding your use of our Services, superseding any prior agreements.
